BizSystems Software License

DO NOT USE THE SOFTWARE UNTIL YOU HAVE READ THIS LICENSE AGREEMENT.
  BY USING THE SOFTWARE (OR AUTHORIZING ANY OTHER PERSON TO DO SO)
                YOU ACCEPT THIS LICENSE AGREEMENT.

License Grant: BizSystems grants to you, and you purchase, subject to the
following terms and conditions, a nonexclusive, nontransferable right to use
the accompanying copy of the Software. BizSystems and/or its licensors
reserve all rights not expressly granted to you.

Protection of Software: You agree to take all reasonable steps to protect
the Software and Documentation from unauthorized copying or use. The
Software represents and embodies trade secrets of BizSystems and/or its
licensors. You agree not to disassemble or decomplie the Software in order
to discover the trade secrets contained therein.

Copies and Adaptations: Except as otherwise provided in this License, you
may not make or authorize the making of copies of adaptations of the
Software except as an essential step in the utilization of the Software, or
for archival purposes or backup use of the Software. All proprietary rights
notices must be faithfully reproduced and included on all copies and
adaptations. Unless explicitly stated in th Documentation, you may not copy
the documentation.

Ownership: Ownership of, and title to, the Software and Documentation
(including any adaptations or copies shall be held by BizSystems and/or its
licensors. Copies are provided to you only to allow you to exercise your
rights under the License. Only the License is purchased by you.

Restrictions: Except as expressly authorized in this Agreement, you agree
not to rent, lease, sublicense, distribute, copy, reproduce, display, or
modify the Software or Documentation.

Limited Liability: Although BizSystems has tested the Software and reviewed
the Documentation, BizSystems makes no warranty or representation, either
express or implied, with respect to the Software and its Documentation,
its quality, performance, merchantability or fitness for a particular
purpose. As a result, the Software and Documentation is licensed "as is" and
you are assuming the entire risk as to its quality and performance.
In no event will BizSystems be liable for direct, indirect, special,
incidental or consequential damages resulting from any defect in the
Software or its Documentation.

Term: This Agreement is effective from the date you use the Software, and
will remain in force until breached.
